1. Acceptance of Terms
By accessing or using Arclite’s software and integrations (the “Service”), you agree to these Terms of Service (“Terms”).
If you do not agree, you may not use the Service.
2. Description of Service
Arclite provides automated financial data processing, reporting, and analysis through integrations with QuickBooks Online.
The Service allows users to securely connect their accounting data for automation and insight generation.
3. Eligibility
You must be at least 18 years old and legally capable of entering into contracts to use the Service.
4. Account and Authorization
When you connect QuickBooks, you grant Arclite permission to access your QuickBooks data via Intuit’s OAuth 2.0 authorization process.
You may revoke access at any time through the Service or your QuickBooks account.
5. User Responsibilities
You agree to:
Provide accurate and lawful information;
Use the Service in compliance with applicable laws and accounting standards;
Maintain the confidentiality of your QuickBooks access and your Arclite account;
Immediately notify us of unauthorized access or suspected security issues.
6. Service Availability
We strive for continuous availability but do not guarantee uninterrupted operation.
Scheduled maintenance or third-party outages (e.g., QuickBooks API downtime) may cause temporary interruptions.
7. Intellectual Property
All intellectual property rights in and to the Service remain the property of Arclite LLC.
This includes software, documentation, workflows, and branding.
8. Data Ownership
You retain full ownership of your accounting data.
By using the Service, you grant Arclite a limited license to process that data solely for the purpose of providing the Service.
9. Fees and Payments
If the Service is offered under a paid plan, billing terms will be presented before you are charged.
All fees are non-refundable unless otherwise required by law.
10. Termination
You may stop using the Service or disconnect your QuickBooks account at any time.
Arclite may suspend or terminate access for violation of these Terms or if continued use would pose a security or compliance risk.
11. Disclaimer of Warranties
The Service is provided “as is” without warranty of any kind.
Arclite disclaims all implied warranties, including merchantability and fitness for a particular purpose.
12. Limitation of Liability
To the maximum extent permitted by law, Arclite LLC shall not be liable for indirect, incidental, consequential, or punitive damages, including data loss, even if advised of the possibility of such damages.
13. Indemnification
You agree to indemnify and hold harmless Arclite LLC and its employees from any claim, demand, or expense arising out of your use of the Service or violation of these Terms.
14. Governing Law
These Terms are governed by the laws of the Commonwealth of Kentucky, excluding its conflict of law rules. Any disputes shall be resolved in the state or federal courts located in Kentucky.
15. Changes to the Terms
We may update these Terms periodically. Continued use of the Service after updates constitutes acceptance of the revised Terms.
