Terms of Service

The agreement between you and Arclite LLC for using the Service.

These Terms of Service ("Terms") constitute a legally binding agreement between you and Arclite LLC ("Arclite," "we," "us," or "our") governing your access to and use of our cash flow forecasting and treasury automation platform (the "Service"). By creating an account or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

1. Eligibility and account registration

You must be at least 18 years old and capable of forming a binding contract to use Arclite. If you register on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@arclite.ai if you suspect unauthorized access.

2. Description of Service

Arclite provides forecasting, accounts receivable, accounts payable, integrations with third-party accounting and banking systems, and AI-assisted analytics and automation. Arclite may modify, enhance, discontinue, replace, or remove features, functionality, integrations, or portions of the Service at any time, provided that such changes do not materially reduce the core functionality of a paid subscription during the applicable subscription term.

3. Free trial and subscriptions

New accounts may receive a 7-day free trial of the Service. A valid payment method is required to begin the trial. Unless you cancel before the trial ends, your paid subscription will begin automatically at the end of the trial period and the payment method on file will be charged at the then-current subscription rate. If you cancel during the trial, you will not be charged.

Subscription fees are billed in advance on a recurring basis. Subscriptions automatically renew for successive billing periods unless cancelled before the renewal date. Fees are non-refundable except where required by law. You authorize us to charge your designated payment method for all fees due. Plan prices and features are described on our website and may be updated with notice. Fees are exclusive of taxes. Customer is responsible for all sales, use, value-added, withholding, and similar taxes other than taxes based on Arclite's net income.

You may cancel at any time. Cancellation takes effect at the end of your current billing period; you will not receive a refund for the remainder of that period. Arclite may suspend access to the Service for overdue amounts after reasonable notice.

4. Your data

You retain all rights to the data you upload, sync, or otherwise provide to Arclite ("Customer Data"). You grant us a limited license to use, process, and display Customer Data solely as necessary to operate the Service and provide features you request, including AI-assisted analyses. We may create and use aggregated, anonymized, or de-identified data derived from Customer Data for analytics, benchmarking, training, product improvement, security, and business operations, provided such data does not identify you or any individual. We may use metadata, usage information, performance metrics, and operational information generated through use of the Service to improve and maintain the Service.

You represent and warrant that you have all rights necessary to provide the Customer Data to us and that your Customer Data does not violate any applicable law or the rights of any third party. You are solely responsible for the accuracy, quality, legality, and completeness of all Customer Data you provide.

5. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose.
  • Use automated means, including bots, crawlers, scrapers, or similar technologies, to access, collect, copy, monitor, or extract data from the Service without our prior written consent.
  • Attempt to gain unauthorized access to the Service or other accounts.
  • Circumvent, disable, interfere with, or otherwise attempt to avoid any usage limits, access controls, security measures, subscription restrictions, or technical limitations of the Service.
  • Access, attempt to access, or seek to obtain information, data, accounts, or systems belonging to another customer or user without authorization.
  • Upload, transmit, store, or otherwise make available through the Service any information, software, technology, or other content in violation of applicable export control, sanctions, or trade compliance laws.
  • Interfere with the operation of the Service, including by uploading malware or running scripts that overload our infrastructure.
  • Reverse engineer, decompile, or attempt to extract source code, except as permitted by law.
  • Use the Service to develop a competing product.
  • Resell or sublicense access to the Service without our written consent.

6. Third-party integrations

The Service integrates with third-party providers (such as QuickBooks Online, Stripe, and Google) that you may connect at your option. Your use of these integrations is governed by the respective third party's terms and privacy policies. We are not responsible for the availability, accuracy, or behavior of third-party services. Arclite does not control and is not responsible for outages, interruptions, inaccuracies, delays, API limitations, data availability issues, policy changes, or discontinuation of third-party services.

7. AI features

Arclite includes AI-assisted features. Outputs may be inaccurate, incomplete, or unsuitable for your specific situation. AI-generated forecasts, recommendations, and analyses do not constitute financial, accounting, tax, or legal advice. You are responsible for reviewing AI outputs before acting on them. You acknowledge that AI outputs are probabilistic in nature and may contain errors, omissions, biases, or inaccuracies. Customer shall independently review and verify all outputs before relying upon them for financial, operational, legal, tax, or business decisions.

8. Intellectual property

Arclite and its licensors retain all right, title, and interest in and to the Service, including all software, algorithms, interfaces, features, designs, documentation, and trademarks. Nothing in these Terms transfers or conveys any intellectual property rights to you, except for the limited right to access and use the Service in accordance with these Terms during the term of your subscription.

If you provide suggestions, enhancement requests, recommendations, corrections, or other feedback regarding the Service, you expressly grant Arclite a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback without restriction or compensation.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCLITE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NO CLAIM ARISING OUT OF OR RELATING TO THE SERVICE MAY BE BROUGHT MORE THAN ONE (1) YEAR AFTER THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Arclite LLC and its officers, directors, employees, contractors, agents, licensors, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorney's fees) arising out of or relating to: (a) your violation of these Terms; (b) your misuse of the Service; (c) your Customer Data; or (d) your violation of any applicable law or the rights of any third party.

12. Termination

We reserve the right to suspend or terminate your access to the Service, with or without notice, for any violation of these Terms, non-payment of fees, or other conduct that we reasonably determine is harmful to other users, third parties, or us. You may close your account at any time by contacting us. Upon termination, your right to access and use the Service terminates immediately. Following termination, Customer may request export of Customer Data for thirty (30) days. After such period, Arclite may delete Customer Data in accordance with its Privacy Policy. The following provisions survive termination: Sections 4 (Your Data, solely with respect to our obligation to return or delete data per our Privacy Policy), 8 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 13 (Governing Law and Disputes), 14 (Assignment), 15 (Electronic Communications), and 16 (Export Controls).

13. Governing law and disputes

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the breach, termination, enforcement, interpretation, or validity thereof (collectively, "Disputes") shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Prior to pursuing litigation, the parties agree to submit any Dispute to non-binding mediation conducted in Jefferson County, Kentucky before a mutually agreed-upon mediator, or if the parties cannot agree on a mediator within fifteen (15) days, before a mediator appointed in accordance with the mediation rules of the American Arbitration Association (AAA), with the costs of mediation shared equally and each party bearing its own attorneys' fees. The mediation shall be completed within sixty (60) days after a written request for mediation unless otherwise agreed by the parties.

If a Dispute remains unresolved following the conclusion of mediation, or if the Dispute is not resolved through mediation within sixty (60) days after written request for mediation, either party may pursue its rights and remedies exclusively in the state or federal courts located in Jefferson County, Kentucky, or the United States District Court for the Western District of Kentucky. Each party irrevocably submits to the exclusive jurisdiction and venue of such courts and waives any objection based on improper venue or forum non conveniens.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction without first engaging in the mediation process where necessary to prevent irreparable harm.

14. Changes to these Terms; Assignment

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms and updating the "Last updated" date above. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

Customer may not assign these Terms without Arclite's prior written consent. Arclite may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of substantially all assets.

15. Electronic communications

Customer agrees to receive notices, disclosures, agreements, and communications electronically and acknowledges that electronic communications satisfy any legal requirement that such communications be in writing.

16. Export controls

Customer represents that it is not located in, organized under the laws of, or ordinarily resident in a country subject to comprehensive U.S. sanctions and is not identified on any U.S. government restricted party list.
